Job Responsibilities

General Function

Provide senior-level paralegal services to in-house Legal Department. Please include a cover letter, describing any corporate paralegal experience.

Essential Duties and Responsibilities

  • Draft corporate charter documents and corporate governance documents including but not limited to articles of organization, operating agreements, minutes and resolutions
  • Maintain corporate governance documents in HCue system.
  • Coordinate Legal Department record management system.
  • Assist with managing litigation matters and insured/uninsured claims management processes including the reporting and handling, as well as the development and management of industry standard metrics.
  • Assist General Counsel and Chief Compliance Officer with managing compliance activities, drafting and reviewing Nondisclosure Agreements, Teaming Agreements and other legal documents and manage database thereof.
  • Assist in the corporate licensing program including business licenses and occupational licenses in multiple states and compliance with the Small Business Administration program.
  • Assist with due diligence conducted in connection merger and acquisition activity.
  • Manage requests for information from various government agencies and other internal support departments.
  • Assist in the preparation of expense reports for the Legal Department.
  • Other duties as assigned.

Knowledge, Skill, and Abilities

  • Minimum of 5-7 years of experience as a corporate paralegal is preferred.
  • Ability to work in multiple areas of law, including unfamiliar ones, and deal with uncertainty on a daily basis in fast paced, collegial in-house Legal Department.
  • Ability to communicate effectively both in a formal legal setting as well as in internal communications with business and legal professionals.
  • Ability to handle highly confidential information discreetly and professionally.
  • Task-oriented with excellent sense of prioritization, highly organized with the ability to manage multiple tasks and to work under pressure.
  • Ability to work individually as well as in a team.
  • Ability to research regulatory law and apply regulatory law to factual situations.
  • Understanding of government contracting a plus.
  • Experience drafting correspondence and legal documents.
  • Ability to continuously track and monitor various reporting requirements and other company information.
  • Proficient in various standard PC-based software packages, including Microsoft Word, Outlook, Excel, and PowerPoint and other legal software applications (such as Lexis Nexis, PACER).
  • Experience with DoE and DoD government contracting matters and Small Business Administration 8(a) Business Development Program is a significant plus.


Education: Paralegal certification and/or Bachelor’s Degree in related field preferred.  Seven (7) years of relevant work experience may be substituted for the certification or degree.

Experience: Possess at least five (5) years of paralegal work experience.
